    1. Agreement to Terms

    These Terms of Service (“Terms”) constitute a legally binding agreement between you and Guarapo Media LLC (“Company,” “we,” “us,” or “our”) regarding your use of the Wantap digital loyalty card platform and related services (collectively, the “Service”).

    By accessing or using our Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not access or use the Service.

    2. Description of Service

    Wantap is a digital loyalty card platform that enables businesses (“Business Users”) to create and manage loyalty programs for their customers (“End Customers”). The Service includes:

    • Digital loyalty card creation and management
    • Point accumulation, tracking, and redemption
    • QR code scanning for point collection
    • Mobile wallet integration (Apple Wallet, Google Wallet)
    • Business analytics and customer management tools

    3. User Types and Responsibilities

    A. Business Users

    Business Users are responsible for:

    • Maintaining accurate business information
    • Setting fair and transparent loyalty program rules
    • Honoring rewards earned by their customers
    • Complying with applicable consumer protection laws
    • Notifying customers of material changes to their loyalty program

    B. End Customers

    End Customers are responsible for:

    • Providing accurate personal information
    • Maintaining the security of their loyalty card
    • Understanding the terms of each business’s loyalty program

    4. User Accounts

    To access certain features, you must create an account. You agree to:

    • Provide accurate, current, and complete information
    • Maintain the security and confidentiality of your login credentials
    • Promptly update information if it changes
    • Accept responsibility for all activities under your account
    • Not share your account or transfer it to others

    5. Billing, Trials, and Refunds

    Paid subscriptions are processed by Stripe and governed by the following terms:

    • All paid plans include a 14-day free trial. We collect a payment method when you sign up, but you will not be charged until day 15. If you cancel during the trial, you pay nothing.
    • Subscriptions are billed in advance on a monthly or yearly basis and renew automatically until canceled.
    • You can cancel at any time from your account settings. Your plan remains active until the end of the current billing period; we do not charge cancellation fees.
    • 30-day money-back guarantee: if you are not satisfied, contact us within 30 days of your first charge and we will refund that payment in full to your original payment method.
    • If prices change, we will give you at least 30 days' notice before the new price applies to your subscription.

    6. Points and Rewards

    • Points have no cash value and cannot be exchanged for money
    • Points cannot be transferred, sold, or combined between programs
    • Points may expire according to individual business policies
    • Businesses may modify point values and reward thresholds with notice
    • We are not responsible for rewards not honored by participating businesses
    • Fraudulently obtained points may be forfeited without notice

    7. Service Availability

    We strive to maintain 99.9% uptime but do not guarantee uninterrupted service. We reserve the right to:

    • Perform scheduled maintenance with reasonable notice
    • Suspend service for emergency maintenance without notice
    • Modify, discontinue, or limit features at any time

    We will make reasonable efforts to notify Business Users of significant service disruptions.

    8. Prohibited Conduct

    You agree not to:

    • Manipulate or fraudulently earn points
    • Create multiple accounts to abuse rewards
    • Use automated systems or bots to interact with the Service
    • Interfere with or disrupt the Service or its infrastructure
    • Attempt to gain unauthorized access to any part of the Service
    • Use the Service for any unlawful or harmful purpose
    • Violate intellectual property rights of others
    • Transmit malware, viruses, or malicious code

    9. Intellectual Property

    The Service and its original content, features, and functionality are owned by Guarapo Media LLC and are protected by international copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works without our express written consent.

    10. Disclaimer of Warranties

    THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

    We do not warrant that the Service will be uninterrupted, secure, or error-free, that defects will be corrected, or that the Service is free of viruses or other harmful components.

    11. Limitation of Liability

    TO THE MAXIMUM EXTENT PERMITTED BY LAW, GUARAPO MEDIA LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

    • Your access to or use of (or inability to access or use) the Service
    • Any conduct or content of any third party on the Service
    • Unauthorized access, use, or alteration of your data
    • Actions or omissions of participating businesses

    Our total liability for any claims arising from these Terms shall not exceed the amount you paid us in the twelve (12) months preceding the claim, or $100, whichever is greater.

    12. Indemnification

    You agree to indemnify, defend, and hold harmless Guarapo Media LLC and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or in any way connected with:

    • Your use of the Service
    • Your violation of these Terms
    • Your violation of any third-party rights
    • Any content you submit or transmit through the Service

    13. Termination

    We may suspend or terminate your access to the Service immediately, without prior notice or liability, for any reason, including breach of these Terms. Upon termination:

    • Your right to use the Service will cease immediately
    • Unredeemed points may be forfeited
    • Business Users must honor rewards already earned by customers
    • Provisions that by their nature should survive will remain in effect

    14. Dispute Resolution

    Informal Resolution: Before filing a claim, you agree to try to resolve any dispute informally by contacting us at legal@wantap.co. We will attempt to resolve the dispute within 30 days.

    Binding Arbitration: If informal resolution fails, any dispute shall be resolved by binding arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules. Arbitration will be conducted in the State of Delaware.

    Class Action Waiver: You agree that any arbitration or proceeding shall be limited to the dispute between us and you individually. You waive any right to participate in a class action lawsuit or class-wide arbitration.

    15. Governing Law

    These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any legal action or proceeding not subject to arbitration shall be brought exclusively in the state or federal courts located in Delaware.

    16. Force Majeure

    We shall not be liable for any failure or delay in performing our obligations where such failure or delay results from circumstances beyond our reasonable control, including but not limited to natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.

    17. Severability

    If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect. The invalid or unenforceable provision will be modified to the minimum extent necessary to make it valid and enforceable.

    18. Changes to Terms

    We reserve the right to modify these Terms at any time. We will notify users of material changes by posting the updated Terms on this page and updating the “Last updated” date. Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms.

    19. Entire Agreement

    These Terms, together with our Privacy Policy, constitute the entire agreement between you and Guarapo Media LLC regarding your use of the Service and supersede all prior agreements and understandings.
